Allegations: DURING MERIDIAN BANK'S (THE ADVISER'S PARENT) 2011 COMPLIANCE EXAMINATION BY THE FDIC, CERTAIN DEFICIENCIES IN THE BANK'S DOCUMENTATION, POLICIES AND PROCEDURES WERE NOTED BY THE FDIC. ON OCTOBER 19, 2012 THE BANK ENTERED INTO A CONSENT AGREEMENT WITH THE FDIC AND THE PENNSYLVANIA DEPARTMENT OF BANKING, JOINTLY, PRINCIPALLY RELATING TO MATTERS OF COMPLIANCE AND FROM ISSUES IN THE BANK'S CREDIT CARD PROCESSING BUSINESS. THE AGREEMENT REQUIRED MERIDIAN BANK TO DEVELOP AND IMPLEMENT A SYSTEM OF INTERNAL CONTROLS, TRAINING, AND MANAGEMENT PROCEDURES TO ENSURE FULL COMPLIANCE WITH THE BANK SECRECY ACT AND THE REGULATORY PROVISIONS OF THE OFFICE OF FOREIGN ASSET CONTROL. MANAGEMENT SUCCESSFULLY ADDRESSED ALL OF THE CONCERNS RELATED TO THIS ORDER, WHICH WAS TERMINATED WITH BOTH AGENCIES ON MAY 21, 2015. THESE MATTERS WERE NOT RELATED TO THE BANK'S WEALTH MANAGEMENT BUSINESS. Status: Final Sanction Detail: ON OCTOBER 19, 2012, THE BANK ENTERED INTO A CONSENT AGREEMENT WITH FDIC AND THE PENNSYLVANIA DEPARTMENT OF BANKING, JOINTLY, PRINCIPALLY RELATING TO MATTERS OF COMPLIANCE AND FROM ISSUES IN THE CONDUCT OF THE BANK'S CREDIT CARD PROCESSING BUSINESS AS NOTED.
