Disciplinary disclosures
Allegations: Y
Allegations: GORDON STEVENS, INDIVIDUALLY AND AS THE REPRESENTATIVE OF SIMILARLY SITUATED PERSONS, AND ON BEHALF OF THE SEI CAPITAL ACCUMULATION PLAN (THE "PLAN") FILED A CLASS ACTION COMPLAINT AGAINST THE DEFENDANTS (THE "STEVENS COMPLAINT"). THE STEVENS COMPLIANT SOUGHT UNSPECIFIED DAMAGES FOR DEFENDANTS' ALLEGED BREACH OF FIDUCIARY DUTIES UNDER ERISA WITH RESPECT TO SELECTING AND MONITORING THE PLAN'S INVESTMENT OPTIONS AND BY RETAINING AFFILIATED INVESTMENT PRODUCTS IN THE PLAN. Status: Final Summary: ALTHOUGH SIMC AND ITS AFFILIATED DEFENDANTS BELIEVED ITS DEFENSES AGAINST THE PLAINTIFF'S ALLEGATIONS WERE VALID, THE DEFENDANTS AGREED TO SETTLE THIS MATTER IN THE VERY EARLY STAGES OF THE LITIGATION IN ORDER TO AVOID THE HIGH COST OF PROTRACTED CLASS-ACTION LITIGATION AND INTERNAL DISTRACTIONS SUCH CASES BRING. THE WRITTEN SETTLEMENT AGREEMENT WAS SUBMITTED TO THE COURT ON JULY 26, 2019, AND IS A MATTER OF PUBLIC RECORD. ALL OF THE SETTLEMENT TERMS WERE APPROVED BY THE COURT ON MARCH 2, 2020.
Allegations: THE SEC'S ORDER FOUND THAT SEI INVESTMENTS GLOBAL FUNDS SERVICES (SGFS) CAUSED AN UNREGISTERED MONEY MARKET FUND FOR WHICH SGFS SERVED AS FUND ACCOUNTANT AND ADMINISTRATOR TO VIOLATE AFFILIATED TRANSACTION RULES WHEN THAT FUND SOLD ITS SHARES TO, AND REDEEMED THEM FROM, A SET OF AFFILIATED MUTUAL FUNDS. WHILE THE UNREGISTERED MONEY MARKET FUND WAS PERMITTED TO SELL ITS SHARES TO, AND REDEEM THEM FROM, THE MUTUAL FUNDS, IT COULD DO SO ONLY IF IT OPERATED IN CONFORMITY WITH CERTAIN REGULATORY REQUIREMENTS, INCLUDING RULE 2A-7 AND SECTION 18 OF THE INVESTMENT COMPANY ACT OF 1940. THE ORDER FINDS THAT, DUE TO THE MANNER IN WHICH SGFS PERFORMED ACCOUNTING FOR THE UNREGISTERED MONEY MARKET FUND, IT FAILED TO SATISFY THOSE REGULATORY REQUIREMENTS FROM 2008 THROUGH 2012. Status: Final Sanction Detail: N/A Summary: THE ACTION HAS BEEN RESOLVED PURSUANT TO AN OFFER OF SETTLEMENT THAT WAS ACCEPTED BY THE U.S. SECURITIES AND EXCHANGE COMMISSION, AS SET FORTH IN AN "ORDER INSTITUTING CEASE-AND-DESIST PROCEEDINGS" DATED APRIL 26, 2018. PURSUANT TO THE ORDER, SGFS MUST CEASE AND DESIST FROM FURTHER VIOLATIONS AND PAY A FINE OF $225,000.
