IT SHOULD BE NOTED THAT SIGNATURE OF AN ADMINISTRATIVE SETTLEMENT AGREEMENT WITH THE REGULATOR IN FRANCE DOES NOT CONSTITUTE AN ADMISSION OF RESPONSIBILITY ON THE PART OF THE REGULATED ENTITY. THE AMF SETTLEMENT PROCEDURE DOES NOT COVER CASES OF MARKET ABUSE (INSIDER DEALING, DISSEMINATION OF FALSE INFORMATION AND PRICE MANIPULATION) OR OFFENSES TO MARKET INFRASTRUCTURES (CENTRAL SECURITIES DEPOSITORIES, SECURITIES SETTLEMENT SYSTEM OPERATORS, CLEARING HOUSES AND MARKET OPERATORS). THE SETTLEMENT AGREEMENT PROVIDES FOR PAYMENT OF A FINE OF EUR 90,000 BY AXIOM ALTERNATIVE INVESTMENTS, AND THE PUBLICATION OF THE TEXT OF THE SETTLEMENT AGREEMENT ON THE AMF'S WEBSITE. THE FIRM ALSO GAVE AN UNDERTAKING TO TAKE REMEDIAL ACTION TO ADDRESS THE POINTS RAISED DURING THE INSPECTION AND TO PRESENT WRITTEN EVIDENCE OF THAT ACTION WITHIN 2 MONTHS OF THE DATE OF THE SETTLEMENT AGREEMENT.
