PURSUANT TO THE SETTLEMENT AGREEMENT, THE FIRM AGREED TO PAY AN ADMINISTRATIVE PENALTY IN THE AMOUNT OF $1,500,000, COSTS OF THE OSC INVESTIGATION IN THE AMOUNT OF $150,000 AND OTHER NON-MONETARY TERMS, INCLUDING SUBMITTING TO A REVIEW OF ITS PRACTICES AND PROCEDURES BY AT THIRD PARTY CONSULTANT.
