Allegations: ON JANUARY 30, 2024, ARROWSTREET WAS FINED KRW 118,500,000 (APPROXIMATELY $89,000) BY THE SECURITIES AND FUTURES COMMISSION OF KOREA. THE FINE WAS PAID ON FEBRUARY 6, 2024. THE FINE WAS LEVIED IN CONNECTION WITH A SINGLE TRADE PLACED IN MAY 2021 ON BEHALF OF A CLIENT'S SEPARATE ACCOUNT TO SELL LONG SHARES OF A KOREAN-LISTED SECURITY. AT THE TIME THE TRADE WAS PLACED, A PORTION OF THE CLIENT'S SHARES THAT WERE TO BE SOLD LONG WERE ON LOAN THROUGH THE CLIENT'S SECURITIES LENDING PROGRAM. THE CLIENT PARTICIPATED IN A SECURITIES LENDING PROGRAM OPERATED BY A THIRD PARTY AGENT UNAFFILIATED WITH ARROWSTREET. ARROWSTREET WAS NOT RESPONSIBLE FOR DIRECTING, OPERATING OR SUPERVISING THE ACCOUNT'S SECURITIES LENDING OR RECALL ACTIVITY. ARROWSTREET COMMUNICATED THE EXECUTION OF THE SELL LONG TRADE IN A TIMELY MANNER, AND WHILE THE TRADE SETTLED ON THE INTENDED SETTLEMENT DATE, SETTLEMENT WAS DELAYED INTRADAY. THE KOREAN REGULATOR DETERMINED THAT BECAUSE A PORTION OF THE CLIENT'S SHARES WERE ON LOAN AT THE TIME THE TRADE WAS PLACED AND WERE NOT TIMELY RECALLED, THE CLIENT WAS DEEMED NOT TO OWN THE SHARES AND, THEREFORE, THE TRANSACTION CONSTITUTED A NAKED SHORT SALE IN VIOLATION OF KOREAN SHORT SALE REGULATIONS Status: Final Sanction Detail: ON JANUARY 30, 2024, ARROWSTREET WAS FINED KRW 118,500,000 (APPROXIMATELY $89,000) BY THE SECURITIES AND FUTURES COMMISSION OF KOREA.
